| 概要 | Using an organizational legitimacy perspective, this study analyzes how formal institutional distance (FID) affects the entry mode choice of Japanese cross-border acquirers. By breaking down FID with the Worldwide Governance Indicators, we clarify how specific institutional dimensions shape acquisition behavior. Among six FID measures, three significantly influence decisions. FID in regulatory quality and control of corruption reduces the likelihood of full acquisitions, whereas FID in the rule of law increases it. These results show that aggregated FID indices mask important differences and that institutional variations matter. Japanese acquirers tend to prefer higher control when facing legal uncertainty abroad. The study offers insights into how particular FID dimensions guide Japanese firms in choosing between partial and full acquisitions. |
